1. Eligibility: Employees of Sponsor and its respective affiliates and subsidiaries and their immediate family members and/or those living in the same household of each are not eligible to participate in the Sweepstakes. “Immediate family members” means spouses, parents, step-parents, children, step-children, siblings, step-siblings, and their respective spouses. “Household members” shall mean people who share the same residence at least three months a year. The Sweepstakes is subject to all applicable federal, state, and local laws and regulations, and is void where prohibited. 
2. Sponsor: Thread Wallets LLC (“Sponsor”) with an address at 241 W Center St, Provo, UT 84601
3. Agreement to Rules: By participating in the Sweepstakes, you agree to be fully and unconditionally bound by these Official Rules, and you represent and warrant that you meet the eligibility requirements set forth herein. In addition, you agree to accept the decisions of Sponsor as final and binding.
4. Sweepstakes Period: Entries will be accepted on November 29, 2024 while supplies last (the “Sweepstakes Period”). Entries submitted before or after the Sweepstakes Period will be disqualified.
5. How to Enter: You will be automatically entered into the Sweepstakes by purchasing any Thread Wallets product during the Sweepstakes Period. Alternatively, you may enter by filling out an entry form at https://www.threadwallets.com/pages/black-friday-giveaway. The entry must fulfill all Sweepstakes requirements, as specified, to be eligible to win a prize. Incomplete entries or entries that do not adhere to the rules or specifications may be disqualified at the sole discretion of Sponsor. You may enter the Sweepstakes once during the Sweepstakes period, either by making a purchase or filling out an entry form. Any entries in excess of one entry per day will be invalid. For each valid entry, an entrant will receive one scratch-off card. Winning scratch-off cards will show one of the prizes offered below. 
6. Prizes and Prize Conditions: Three Grand Prizes include: one $1,000 Delta gift card, one $1,000 Airbnb gift card, and one $1000 Stubhub gift card. Each Grand Prize value is estimated at $1,000. Actual/appraised value may differ at time of prize award. The specifics of the prize shall be solely determined by Sponsor, and Sponsor reserves the right to substitute the prize or a portion thereof with one of comparable or greater value. The prize is nontransferable. Any and all prize-related expenses, including, without limitation, any and all federal, state, and/or local taxes shall be the sole responsibility of the winners. No substitution of prize or request for the cash equivalent by winners will be allowed.
7. Odds: The odds of winning The Grand Prize are 3 in 4000.
8. Winner selection and notification: To be confirmed a winner, an entrant with a winning scratch-off card must email a picture of the winning card to lex@threadwallets.com, and then return the winning scratch-off card along with the name, phone number, and email address of the entrant to Sponsor at 241 W. Center Street, Provo, Utah 84601 no later than Dec 31, 2024. Sponsor will confirm authenticity of the winning scratch-off card and confirmed winners will be notified via email to the email address listed on the Sweepstakes entry within five (5) days following verification of scratch-off card. Sponsor shall have no liability for winners’ failure to receive notices for any reason, including without limitation winners’ spam, junk e-mail or other security settings or for winners’ provision of incorrect or otherwise non-functioning contact information. Winners may be required to complete and return a declaration or affidavit of eligibility and release of liability, and applicable tax forms. If selected winners cannot be contacted, are ineligible, or fail to claim the prize within 72 hours from the time award notification was sent by timely returning a completed and executed declaration and releases as required, prize may be forfeited and an alternate winner selected.

The receipt by winners of the prizes offered in this Sweepstakes is conditioned upon compliance with any and all applicable federal and state laws and regulations. ANY VIOLATION OF THESE OFFICIAL RULES BY ANY WINNER (AT SPONSOR’S SOLE DISCRETION) WILL RESULT IN SUCH WINNER’S DISQUALIFICATION AS WINNER OF THE SWEEPSTAKES AND ALL PRIVILEGES AS WINNER WILL BE IMMEDIATELY TERMINATED.

9. Rights Granted by You: By entering the Sweepstakes, you grant permission to Sponsor, and anyone acting on its behalf, or its respective licensees, successors and assigns, where permitted by law, to print, publish, broadcast, distribute, and use, worldwide in any media now known or hereafter in perpetuity and throughout the world, your name, hometown (city and state), biographical information, portrait, picture, voice, likeness, image or statements about the Sweepstakes, without any further notice, review, or consent, for any purpose, including without limitation in connection with and to promote, market, or advertise the Sweepstakes or the Sponsor, without any further compensation.
10. Other Terms: Sponsor reserves the right, in its sole discretion to cancel, terminate, modify or suspend the Sweepstakes should (in its sole discretion) a virus, bugs, non-authorized human intervention, fraud or other causes beyond its control corrupt or affect the administration, security, fairness, or proper conduct of the Sweepstakes. Sponsor reserves the right at its sole discretion to disqualify any individual who tampers or attempts to tamper with the entry process or the operation of the Sweepstakes or website or violates these Official Rules. Sponsor has the right, in its sole discretion, to maintain the integrity of the Sweepstakes, to void entries for any reason, including, but not limited to; multiple entries from the same person, or the use of bots, macros or scripts or other technical means for entering. Any attempt to deliberately damage any website or undermine the legitimate operation of the Sweepstakes may be a violation of criminal and civil laws and should such an attempt be made, Sponsor reserves the right to seek damages from any such person to the fullest extent permitted by law. 
11. Limitation of Liability: By entering the Sweepstakes or accepting any prize, you agree to release and hold harmless Sponsor and its subsidiaries, affiliates, partners, representatives, agents, successors, assigns, employees, officers and directors from any and all actions, claims, liability, illness, injury, death, loss, or damage that may occur, directly or indirectly, in whole or in part, whether caused by negligence or not, from participation in the Sweepstakes and/or your acceptance, possession, use, or misuse of any prize or any portion thereof. 
12. Disputes: THIS SWEEPSTAKES IS GOVERNED BY THE LAWS OF THE UNITED STATES OF AMERICA AND THE STATE OF UTAH, WITHOUT RESPECT TO CONFLICT OF LAW DOCTRINES. As a condition of participating in this Sweepstakes, you agree that any and all disputes that cannot be resolved between the parties, and causes of action arising out of or connected with this Sweepstakes, shall be resolved individually, without resort to any form of class action, exclusively before a court located in Salt Lake County, Utah having jurisdiction. Further, in any such dispute, under no circumstances will you be permitted to obtain awards for, and you hereby waive all rights to claim punitive, incidental, or consequential damages, including reasonable attorneys’ fees, other than your actual out-of-pocket expenses (i.e., costs associated with entering this Sweepstakes), and you further waive all rights to have damages multiplied or increased.

15. Force Majeure. If Sponsor is prevented from continuing with this Sweepstakes as contemplated herein by any event beyond its control, including but not limited to fire, flood, earthquake, explosion, pandemic, virus, quarantine, labor dispute or strike, act of God or public enemy, satellite or equipment failure, riot or civil disturbance, terrorist threat or activity, war (declared or undeclared) or any federal, state, or local government law, order, or regulation, or order of any court or other cause not within its control, Sponsor shall have the right to modify, suspend, extend or terminate the Sweepstakes, and award the prize in its sole discretion.
